Terms & Conditions
1. Applicability
These terms and conditions of sale (these "Terms") govern the sale of our product(s) ("Products") to you. If a separate written agreement exists between you and Supply The Brand Inc. covering the sale of Products, its terms prevail over inconsistent terms here.
These Terms and our quotation form the entire agreement ("Agreement") and supersede all prior agreements or communications. These Terms override any terms in your purchase order, even if signed or acknowledged. Order fulfillment does not mean acceptance of any other terms. Amendments must be in writing and signed by both parties.
2. Delivery
We will determine the shipping method and carrier unless requested otherwise. Partial shipments may occur and will be invoiced separately. All shipments are Ex-Works, meaning risk and cost transfer to you upon carrier possession. Delivery timelines are estimates and not guarantees.
3. Inspection and Damaged Shipments
You have 5 calendar days from delivery notification to inspect and accept or reject Products. If your order arrives visibly damaged, refuse the package and document the damage with the carrier. If hidden damage is found, notify us within 5 calendar days. You may be asked to provide photos and keep all packaging for inspection.
Any shortages or overages must be reported immediately or will be deemed accepted.
4. International Shipments
Orders shipped outside the U.S. may incur duties, tariffs, or customs fees, which are your responsibility. Supply The Brand Inc. may assist with customs clearance at our discretion and may charge all import-related costs plus a 15% service fee.
5. Limited Product Warranty
We warrant Products to be free from material and workmanship defects for one year from the invoice date. At our discretion, we will repair or replace defective items. Warranty claims are subject to verification and governed by our Return Policy.
This warranty does not cover abuse, misuse, unauthorized repairs, or consumables like crucibles, heating elements, or tubes. Additional warranties may be available for purchase.
EXCEPT AS EXPRESSLY STATED HEREIN, PRODUCTS ARE SOLD “AS IS” WITHOUT IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
6. Return Policy
Returns are accepted within 30 calendar days from delivery, with a valid RMA. Products must be unused and returned with all original packaging and components.
Defective items will receive a prepaid shipping label and a full refund or replacement.
Non-defective returns incur a 15% restocking fee, and you are responsible for all shipping costs.
Customized items are non-returnable. We reserve the right to determine item eligibility.

7. Prices
Product prices are those in our quote or your accepted purchase order. Prices are subject to change before shipping unless already paid.
Prices exclude taxes and government charges. You are responsible for these unless they relate to our income or property.
8. Payment Terms
Payment is typically required prior to delivery. If we offer extended terms, payment is due within 10 days of invoice (unless otherwise noted). Late payments incur 1.5% monthly interest (or the maximum allowed by law). Offsets and withholdings are not permitted.
9. Intellectual Property
All trademarks, designs, documentation, and intellectual property related to our Products remain the sole property of Supply The Brand Inc.. No rights are transferred or licensed except as explicitly agreed. We reserve the right to seek injunctive relief for violations.
10. Confidential Information
You agree to protect all non-public, proprietary information shared by Supply The Brand Inc. in relation to these Terms. This includes product details, pricing, customer lists, and documentation. This obligation does not apply to publicly known or lawfully obtained information.
11. Compliance with Law
You agree to comply with all applicable laws and export/import regulations related to purchasing and reselling our Products.
12. Force Majeure
We are not liable for delays caused by events beyond our control (e.g., natural disasters, war, supply chain issues). Either party may terminate the Agreement after 45 days of continuous delay with 10 days’ written notice.
13. Limitation of Liability
We are not liable for any indirect, incidental, special, or consequential damages. Our total liability will not exceed the amount paid for the Products at issue.
14. Waiver
Our failure to enforce any right or provision is not a waiver of future enforcement.
15. Termination
We may terminate this Agreement immediately if you fail to pay or breach any terms, or if you become insolvent or subject to bankruptcy.
16. Assignment
You may not assign or delegate rights or duties without our written consent. Unauthorized assignments are void.
17. Relationship of the Parties
We are independent contractors. These Terms do not create any agency, partnership, or joint venture.
18. No Third-Party Beneficiaries
Only you and Supply The Brand Inc. have rights under this Agreement. No third party has enforceable rights.
19. Governing Law
This Agreement is governed by the laws of the State of Utah, without regard to conflict-of-law rules.
20. Jurisdiction
All disputes must be litigated in the state or federal courts located in Salt Lake County, Utah. Both parties consent to the exclusive jurisdiction of those courts.
21. Notices
Send notices to the addresses specified in the purchase order or order confirmation. Notices are valid upon confirmed receipt.
22. Severability
If any provision is held to be invalid or unenforceable, the remaining provisions remain in full force.
23. Pre-Owned Equipment
Pre-owned equipment is sold as-is, with no warranties expressed or implied, unless otherwise stated in writing by Supply The Brand Inc.. You acknowledge and agree that pre-owned items may have cosmetic imperfections, signs of prior use, or other non-functional wear, which do not affect performance.
We make commercially reasonable efforts to ensure the functionality and condition of all pre-owned equipment prior to sale. Any known functional issues will be disclosed at the time of quotation or sale.
Returns of pre-owned equipment are subject to the standard return policy outlined above, except that all returns must be approved in advance in writing and may be subject to a restocking fee of up to 25%. Customized, modified, or refurbished pre-owned equipment is not eligible for return unless explicitly authorized.
You are responsible for confirming compatibility, specifications, and suitability for your intended use prior to purchase. Supply The Brand Inc. shall not be liable for any damages or losses resulting from your use of pre-owned equipment.
